# Vendor Agreement

This Agreement sets out the terms between Cenoma and you, the maker or cooperative
selling on shopcenoma.com (“Vendor”). By creating a vendor account, you accept these
terms.

## 1. Relationship

You are an independent seller, not an employee or agent of Cenoma. You retain full
ownership of your designs and craft, and of your products until sold.

## 2. Eligibility & verification

Products must be designed and made in Cameroon by you or your cooperative. Vendors
complete our verification (application, interview, quality review). Misrepresenting
origin or authorship is grounds for immediate termination.

## 3. Products & quality

You warrant your products are safe, lawful to sell in the US, accurately described,
and consistent with agreed quality standards. Prohibited: counterfeits, restricted
materials (e.g., protected wildlife products), and infringing items.

## 4. Pricing

Prices are set collaboratively: you propose, we advise on the US market, and nothing
is published without your agreement.

## 5. Commission & payouts

 * **Split:** Vendor receives **80%** of each sale; Cenoma retains 20% (US warehousing,
   payment processing, customer service, story-card packaging, marketing).
 * **Shipping fees** paid by customers go to Cenoma, which performs fulfillment.
 * **Payouts:** automatic every two weeks from a **$50** balance, by PayPal or bank
   transfer (including Wise).
 * You are responsible for taxes on your income in your jurisdiction.

## 6. Inventory & fulfillment

You ship approved inventory to our Silver Spring, MD warehouse; we assist with export
paperwork and consolidate regional shipments where possible. Risk of loss transfers
to Cenoma upon confirmed warehouse receipt. Unsold inventory is returned or donated
by written agreement.

## 7. Your story & brand

You grant Cenoma a non-exclusive license to use your name, portrait, story, and 
product photos to present and market your products. You review your story before
publication and may request corrections anytime. This license ends with the Agreement,
except materials already printed.

## 8. Conduct

Both parties communicate honestly and respond in reasonable time. Vendors agree 
not to redirect Cenoma customers off-platform for products listed on Cenoma.

## 9. Term & termination

Either party may terminate with 30 days’ written notice; immediate termination for
fraud, origin misrepresentation, or serious quality failures. On termination, remaining
balances are paid at the next payout cycle.

## 10. Liability & law

Neither party is liable to the other for indirect or consequential damages. Governed
by the laws of the State of Maryland, USA. Disputes are first addressed in good-
faith discussion.
